What is "cash & keys" agreement between landlord& tenant?

Recently my landlord has a buyer for his house that I currently live in, I have no lease and I been paying on a month to month basis. He wants be out A.S.A.P. and is willing to allow me to make a cash offer for which if he agrees to will be in exchange for my keys for the apt. and for me to be out on Jan.10th. I am curious of how legal this is and how common as well? Does anybody know much about this pay off? I willing as long as it is legal which he states his lawyer will draw up a contract and such. Should I been concerned of any tricks or wrong doing in this regard? Also, it still leaves me with no place to go and I will need to temporarily live with family.
