Realize that as a month to month tenant, your tenancy can be ended on 30 days notice to you (one full rent cycle). So one way or another you are going to have to move, whether you accept his offer or not.

Sounds like he wants you out for sure by that date so that he can sell his house. The offer he had made is completely legal - it can be whatever the two of you agree on. By accepting his offer you'd have some money to pay the rent on a new apartment or for other expenses. Sounds like a good deal to me. Grab it while you can.
